Version française — les présentes conditions prévalent. The French version of these Terms is the official version and prevails; this English version is provided for convenience and applies where you have expressly asked to contract in English (see Section 18).
These Terms of Service (the "Terms") govern your use of liasse.tech and the Liasse platform — including our AI-assisted website and application builder, the sites and applications built or hosted through it, our discovery assistant (voice and chat), and our SMS program (together, the "Services") — and every purchase you make from Liasse, including the initial website package, site updates, and hosting renewals. By using the Services, creating an account, submitting a project brief, or placing an order, you agree to these Terms, including the Acceptable Use Policy in Section 4. If you do not agree, do not use the Services.
1. Who We Are and Who the Services Are For
Liasse is a Québec-based technology service that builds complete websites and applications from your description, hosts them, and provides related tools (accounts, booking, payments integration, messaging, and more). References to "Liasse", "we", "us" or "our" mean the operator of liasse.tech.
The Services are offered to businesses: enterprises, self-employed professionals, and organizations acquiring a website or application for the purposes of their business activities. By purchasing, you attest that you are acting for business purposes and not as a consumer. If any mandatory consumer-protection rule nonetheless applies to you, nothing in these Terms deprives you of it (see Section 15).
2. Eligibility and Your Account
- You must be at least 18 years old, or use the Services with the consent and supervision of a parent or legal guardian, and have the legal capacity to enter into these Terms.
- You are responsible for the accuracy of the information you provide (including your name and email address) and for all activity that occurs through your account and access links.
- Access links (magic links) are personal. Do not share them. Tell us immediately at [email protected] if you believe your access has been compromised.
3. The Services and AI-Generated Content
- Liasse uses artificial intelligence to help you describe, design, generate, and update websites and applications. AI output can contain errors; you are responsible for reviewing the content of your site or application before and after it goes live.
- Everything you create, publish, or operate through the Services — including content generated by our AI at your direction — is subject to these Terms and the Acceptable Use Policy below.
- Our discovery assistant (voice and chat) and our build pipeline are instructed to refuse requests that violate Section 4. Attempting to work around those refusals is itself a violation of these Terms.
4. Acceptable Use Policy
This Acceptable Use Policy (the "AUP") protects our users, the public, and the integrity of the platform. It applies to your use of the Services and to every website, application, and piece of content built, generated, hosted, or distributed through Liasse. You must not use the Services — and must not allow any site or application you operate on Liasse to be used — to do any of the following:
4.1 Sexually Explicit or Pornographic Content
- Generate, host, promote, or distribute pornographic material or content intended for sexual gratification, including descriptions of sexual acts, fetish content, or erotic interactions.
- Publish or facilitate any adult content that violates applicable laws, or present sexual content without lawful age controls where such content would otherwise be permitted by law. Liasse does not host adult-content sites.
4.2 Child Exploitation or Harm
- Create, request, host, link to, or distribute any content that sexualizes, exploits, or harms minors (persons under 18) in any way — including fictional depictions, roleplay, "aged-up" characters, grooming, sextortion, or child sexual abuse material (CSAM), whether real, drawn, or AI-generated.
- Use the Services to contact, recruit, or target minors for any exploitative or harmful purpose.
Zero tolerance: we terminate access immediately upon detection and report such content and associated account information to law enforcement and to the appropriate authorities, as required by Canadian law (including the Act respecting the mandatory reporting of Internet child pornography by persons who provide an Internet service).
4.3 Illegal Activities, Goods, or Services
- Facilitate, promote, or provide instructions for any activity that is illegal under the laws of Québec, Canada, or any other jurisdiction that applies to you or your users.
- Offer, sell, or facilitate: human trafficking or sexual services; illegal drugs or controlled substances; weapons, ammunition, or explosives; counterfeit goods; stolen property or data; or any other illegal or unlawfully regulated goods and services.
- Conduct or support scams, fraud, phishing, identity theft, money laundering, or the creation or distribution of malware, spyware, or other harmful code.
4.4 Violent, Hateful, or Threatening Content
- Incite, promote, glorify, or threaten violence or harm against people, animals, or property, including terrorism or violent extremism.
- Publish hate speech or discriminatory content targeting people on the basis of race, ethnicity, national origin, religion, sex, gender identity or expression, sexual orientation, age, disability, or any other characteristic protected by the Canadian and Québec charters and human-rights laws.
- Host gratuitous graphic violence, animal cruelty, or content that promotes self-harm, suicide, or eating disorders, or that bullies, harasses, shames, or intimidates any person.
4.5 Fraudulent, Deceptive, or Abusive Practices
- Engage in spam, fake reviews or testimonials, deliberately misleading claims, pyramid or Ponzi schemes, or predatory or deceptive business practices (including practices prohibited by Québec's Consumer Protection Act and Canada's Competition Act and Anti-Spam Legislation).
- Impersonate any person or organization, or misrepresent your affiliation with them.
- Create fake documents, forged credentials, deepfakes, or other synthetic media intended to deceive.
4.6 Privacy and Rights Violations
- Collect, use, or disclose personal information in violation of applicable privacy laws (including Québec's Law 25 and Canada's PIPEDA), or without the consent those laws require.
- Publish another person's private information without consent ("doxxing"), or use biometric or facial-recognition data without lawful authority and explicit consent.
- Infringe copyrights, trademarks, or other intellectual-property or personality rights.
4.7 Platform Abuse and High-Risk Activities
- Circumvent suspensions or bans, create accounts by automated means, abuse the satisfaction guarantee, the update build-attempt mechanism, or the fair-usage allowances (Sections 8, 9 and 11), or interfere with other users' sites or data.
- Scrape the Services, probe or test their security without written authorization, reverse engineer them, or use them to build or train a competing service.
- Spread political misinformation, interfere with elections, or run deceptive political or advocacy campaigns.
- Use the Services in any way that could compromise critical infrastructure, safety systems, medical systems, or public safety.
5. Enforcement and Consequences
- We may review any content or site on the platform, but we have no obligation to pre-screen, and a failure to act on one violation does not waive our right to act on another.
- Depending on the severity of a violation, we may: remove or block content; pause builds or updates; suspend or permanently terminate accounts and sites (without refund, to the extent permitted by law); and withhold or revoke access links.
- We may preserve and disclose content and account information where we believe in good faith that the law requires it, or that it is necessary to protect a person's safety, investigate fraud, or respond to a lawful request from authorities. Child-exploitation content is always reported (Section 4.2).
- Our AI assistant declining a request, or the platform refusing a submission, is an intended enforcement mechanism of this AUP — not an error.
6. Fees, Payment, and Taxes
Before you place any order, the total price and the conditions in this section, in Section 7 (delivery), in Section 8 (guarantee and refund), and in Section 10 (renewal and cancellation) are disclosed to you on our site and at checkout.
6.1 Initial website package — $499 CAD at order
- The initial package costs $499 CAD, payable at order and composed of a $250 one-time design fee and $249 for your first year of hosting and usage.
- Both amounts are charged together at activation through a single PayPal subscription. The same subscription then handles the annual renewals described in Section 10.
- Any amount we describe as a "deposit" or prepayment is simply a payment on the price of the Services, held by Liasse as an ordinary prepayment. It is not held in escrow, in trust, or by any third party, and it is refundable only under the satisfaction guarantee in Section 8 or as applicable law requires.
6.2 Taxes
- All prices are stated before taxes. GST and QST — or the HST of your recipient province, where applicable — are added at the rates in force.
- Our tax registration numbers appear on your invoices.
6.3 Payment disputes and statutory rights
Nothing in these Terms waives, limits, or conditions your right to dispute a charge with PayPal or your financial institution, or any right you hold under applicable law. Any clause that could be read that way is to be read down accordingly.
7. Delivery of Your Initial Build
- We deliver your initial website or application within seven (7) days of activation of your order, unless a longer period is expressly agreed with you in writing.
- "Delivery" occurs when we notify you, at your account email or in your dashboard, that your site is available for you to view.
- The 14-day period of the satisfaction guarantee (Section 8) starts at delivery.
8. Satisfaction Guarantee — Initial Build Only
Summary of the conditions: initial build only · one guaranteed claim per customer · claim within 14 days of delivery · we fix first, in good faith · refund on a second, written request · this guarantee does not limit your rights under applicable law.
We voluntarily offer the following satisfaction guarantee on the initial build of your website or application. It does not apply to updates (Section 9) or renewals (Section 10).
- Fix request (within 14 days of delivery). If you are not satisfied with your delivered site, submit the fix-request form in your dashboard within 14 days of delivery. The form asks you to describe the problems, provide a phone number, and book a call with us.
- Good-faith fix effort. A human member of our team will review your request, speak with you at the booked time, and make a good-faith effort to fix the problems you described.
- Second, written refund request. If, after our fix effort, you remain unsatisfied, send a second, formal written request from your account email address to [email protected] (or [email protected] in French), quoting the claim ID from your fix request.
- Full refund within 15 days. We then refund the full $499, including taxes paid, within 15 days of your written request.
- Effect of the refund. The refund cancels your subscription, takes your site offline, and terminates the licence to the delivered work. The licence granted to you in the delivered site is conditional on full payment of the price; once the price is refunded, that condition is no longer met.
This guarantee may be exercised once per customer: that is the scope of this voluntary guarantee, which we offer in addition to the law. This guarantee does not limit your rights under applicable law, including the legal warranty under the Civil Code of Québec and, where it applies, Québec's Consumer Protection Act.
9. Site Updates ($99) and Free Content Editing
9.1 Free, unlimited content editing
Editing the text and image content of your site through the built-in editor is free and unlimited. This covers content only — not the structure, design, or features of the site.
9.2 Paid updates — $99 CAD each
Structural or feature changes are made through paid updates. Each update costs $99 CAD, prepaid at purchase. That price is final and non-refundable, and is expressly the consideration for all of the following, which you receive whether or not you publish the result:
- Up to three (3) build attempts per update purchase;
- An always-on live preview of each attempt, so nothing publishes without your having had the opportunity to see it first;
- Banked attempts: rejected attempts remain available in your dashboard for later one-click publication. Banked attempts are non-stackable: publishing any version invalidates the other banked versions.
9.3 Approval mechanics and deemed acceptance
- When a build attempt completes, we notify you at your account email and in your dashboard.
- Once you first open the preview of an attempt, you have 30 minutes to approve or reject it.
- If you never open the preview, the attempt publishes automatically 24 hours after the notification.
- Silence or the expiry of these windows counts as acceptance of the attempt, and the charge stands. You expressly consent to this deemed-acceptance mechanism, by a distinct click, each time you purchase an update.
- Rejecting all three attempts does not entitle you to a refund: the attempts remain banked and available for later publication, and the consideration described in Section 9.2 has been provided.
This finality does not limit your rights under applicable law, including the legal warranty; and nothing in this section limits your right to dispute a charge (Section 6.3).
10. Hosting, Renewal, and Cancellation
- Your subscription renews automatically each year at $249 CAD (plus applicable taxes) for hosting and usage, through the same PayPal subscription used at your initial order.
- We send you a reminder email approximately 14 days before each annual charge.
- You may cancel at any time, effective at the end of the current paid period. Your site stays online for the time you have already paid; we do not issue prorated refunds for the unused portion of a period, to the extent permitted by law — this does not limit your rights under applicable law.
- If a renewal payment fails, we notify you and retry the charge. Your site is not cut off mid-period: suspension only takes effect at the end of the paid period, followed by a grace period during which you can settle the renewal and restore service before the site is taken offline.
11. Fair Usage
Your annual fee of $249 CAD covers hosting and the third-party resources needed to run a typical business site, within the following indicative allowances:

- If the underlying cost of the resources your site consumes exceeds 80% of your annual fee, we will contact you to discuss a plan tailored to your needs.
- There is no automatic suspension and no surprise charge under this section: we never bill you for overage without a new agreement with you.
- If extreme overuse persists after we have reached out, we may decline to renew your subscription at the end of the current period, with notice.
12. Your Content and Licence
You keep ownership of the content you provide and, subject to these Terms, of the content generated for your project. You grant Liasse the licence needed to host, display, back up, adapt (for technical purposes), and operate your site or application as part of providing the Services. You are responsible for having the rights to everything you upload or direct the AI to use. The licence to the delivered work is conditional on full payment of the price; it terminates if the price is refunded under the satisfaction guarantee (Section 8).
13. Privacy
Our collection and use of personal information is described in our Privacy Policy (version française). By using the Services you consent to that collection and use.
14. SMS Program Terms
These terms govern the Liasse SMS messaging program (the "Program"). By placing a call to a Liasse phone-intake number and providing your mobile number, you consent to receive SMS messages from Liasse as described below.
Program name and description
Liasse Website Builder — Phone Intake SMS. After you call a Liasse phone-intake number to describe a website you'd like to build, the Program sends transactional SMS messages required to complete your request:
- A request for your name and email address, sent immediately after your call ends, so we can deliver your website-build link
- Optional reminder messages if you have not responded
- The magic link that lets you access and generate your website
- Occasional service-related notifications tied to your account
This is a transactional Program. We do not send marketing or promotional SMS through this Program.
Frequency, rates, opt-out, help
- You will typically receive 1 to 5 SMS messages per phone intake; volume is driven by your interaction with the service, with no recurring schedule.
- Message and data rates may apply. Liasse does not charge for Program SMS, but your carrier's standard messaging and data rates apply. Contact your carrier for details.
- Reply STOP to any message to opt out. You will receive one confirmation message, then no further Program SMS. To rejoin, call a Liasse phone-intake number again and complete a new intake.
- Reply HELP to any SMS for support contact information, or email [email protected]. We respond to non-emergency inquiries within 1–2 business days.
- The Program supports all major North American carriers (AT&T, T-Mobile, Verizon, Rogers, Bell, Telus, Freedom Mobile, and others). Carriers are not liable for delayed or undelivered messages.
- You must be the authorized user of the mobile number used in the Program.
15. Disclaimers and Limitation of Liability
The Services are provided "as is" and "as available". To the maximum extent permitted by applicable law, Liasse disclaims all warranties not expressly stated in these Terms, and is not liable for indirect, incidental, or consequential damages arising from your use of the Services. Nothing in these Terms limits or excludes rights that cannot be limited or excluded under applicable law, including the legal warranty and consumer rights under Québec's Consumer Protection Act and the Civil Code of Québec, nor your right to dispute a charge with your payment provider (Section 6.3).
16. Changes to These Terms
We may update these Terms and the AUP from time to time — for example to address new risks, features, or legal requirements. Updated Terms take effect when posted at this URL, and the "Last updated" date reflects the most recent revision. Your continued use of the Services after an update means you accept the current version; you are responsible for complying with the version in force at the time of use. For material changes affecting active subscriptions, we will give the notice required by applicable consumer law.
17. Governing Law
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Subject to any mandatory consumer-protection provisions granting you a different forum, disputes will be brought before the competent courts of the Province of Québec.
18. Language
The French version of these Terms, available at liasse.tech/conditions, is the official version and prevails in case of divergence. This English version is provided for convenience. If you elect to contract in English, that express wish is recorded when you purchase. / La version française des présentes conditions, accessible à liasse.tech/conditions, est la version officielle et prévaut en cas de divergence.
